Welcome to LapinoPay, a payment gateway platform that facilitates secure digital financial transactions for individuals and businesses. These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "Merchant", "you") and LapinoPay ("we", "us", "our"), governing your access to and use of our website, services, software, and technologies. By accessing or using LapinoPay in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms.

These Terms are designed to protect LapinoPay, our partners, service providers, and customers. LapinoPay is a payment gateway facilitator; we are not a bank, financial institution, or cryptocurrency exchange. These Terms do not constitute legal, tax, or financial advice. You should seek independent professional advice as appropriate.

2.1 Zero Tolerance Policy

LapinoPay maintains a zero-tolerance policy for illegal activity, fraud, scams, chargebacks, money laundering, terrorist financing, sanctions evasion, or any conduct that violates applicable law or these Terms. If any illegal activity, scam, chargeback, or fraudulent transaction originates from your account, transactions, or use of our services: (a) your account will be permanently banned; (b) you will receive no payout of any remaining balance; (c) all funds related to the violation may be frozen or seized; and (d) all your data, including personal and transactional data, will be retained by LapinoPay for legal, regulatory, and law enforcement purposes.

We cooperate fully with regulatory authorities, law enforcement, and payment networks in investigations. You waive any claim to payouts, refunds, or data erasure in such circumstances.

2.2 Chargebacks and Disputes

If a chargeback, payment reversal, or disputed transaction is caused by you, your customers, or activity associated with your account, LapinoPay will deduct from your balance (or future payouts) an amount equal to two times (×2) the sold transaction value of the disputed payment, plus a fixed chargeback penalty of fifty USDC (50 USDC) per chargeback. Example: a 100 USDC sold transaction that results in a chargeback incurs a 200 USDC chargeback deduction plus a 50 USDC penalty.

You are fully responsible for all chargebacks and these amounts. LapinoPay may offset the ×2 chargeback deduction and the 50 USDC penalty from your available balance, rolling reserve, or future payouts without prior notice. Chargebacks may also result in immediate account suspension, withholding of payouts, and permanent termination under Section 2.1.

You must complete identity verification (KYC) before accessing certain services. KYC documents are stored for admin review. If your application is rejected, your documents and related data will be deleted. If approved, your documents and data will be stored for three (3) years as required by law and our internal policies. Fees depend on the service, the payment provider, risk assessment, and the nature of your business and work. Fee schedules are disclosed before transaction completion and may be updated with notice. By confirming a transaction, you agree to applicable charges. LapinoPay may revise fee schedules with reasonable notice.

5.1 Payout Timing

Payout timing ranges from instant to seven (7) business days, depending on the payment method, provider, and your account status. LapinoPay does not guarantee any specific payout speed.

5.2 Minimum and Maximum Payouts

Minimum and maximum payout amounts depend on your subscription plan and account tier. These limits are displayed in your account dashboard and may be adjusted based on risk, compliance, or plan changes.

A rolling reserve may be applied to your account for the security of LapinoPay and your customers. Reserve funds are withheld for one hundred twenty (120) days before release, or such other period as determined by LapinoPay. This protects against chargebacks, fraud, and disputes. You acknowledge and accept that reserves are a standard risk management practice and you have no claim to early release except as required by law.

You are solely responsible for the accuracy of any cryptocurrency address, network (e.g., Ethereum, Tron, BSC), or destination you provide. LapinoPay is not responsible for losses resulting from incorrect addresses, wrong network selection, or user error. Transactions sent to incorrect addresses or on wrong networks are irreversible and LapinoPay has no obligation to recover or refund such amounts.

8.1 Payment Gateway

LapinoPay operates as a payment gateway, allowing merchants and users to initiate, authorize, and complete financial transactions across multiple currencies and payment methods. We partner with third-party providers for crypto-to-fiat conversions, digital wallet integrations, and KYC/AML compliance. We do not serve as a bank, financial institution, or cryptocurrency exchange.

8.2 Subscription Plans

LapinoPay offers subscription-based access to our platform. Features, limits, and pricing vary by plan. Subscription fees are disclosed before purchase and are generally non-refundable once services are activated.

You must be at least 18 years of age and have legal capacity to enter into contracts. You must provide accurate information and maintain the confidentiality of your credentials. We may deny access or terminate accounts at our sole discretion for misuse, fraud, or violation of these Terms.

You agree to use LapinoPay only for lawful purposes and in accordance with applicable financial, data protection, and anti-fraud regulations. Use of our platform for illegal activities—including money laundering, terrorist financing, sanctions evasion, or prohibited goods or services—is strictly forbidden. We reserve the right to report suspicious or unlawful activity to authorities and to cooperate fully with investigations.

We may suspend, restrict, or terminate your access at any time, with or without notice, if we determine that you have violated these Terms, engaged in suspicious behavior, or presented a risk to our services or other users. Upon termination, your account will be deactivated and pending transactions may be canceled. We are not liable for damages or losses resulting from such actions. In cases of fraud or illegal activity, Section 2 (Account Ban, Zero Tolerance) applies.

Our services rely on third-party platforms, APIs, and partners. These third parties may impose additional terms. By using services enabled through LapinoPay, you consent to processing of your data and transactions by such providers. We are not responsible for the operations, policies, or actions of third parties.

13.1 Risk Disclosure

Digital payments, including cryptocurrency, carry inherent risks due to volatility, regulatory uncertainty, technological vulnerabilities, and third-party failures. LapinoPay does not provide financial, investment, tax, or legal advice. All decisions are made at your sole risk.

13.2 No Warranties

LapinoPay provides services "as is" and "as available" without any warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted, error-free, or secure service.

13.3 Limitation of Liability

To the maximum extent permitted by law, LapinoPay, its affiliates, directors, officers, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from or related to your use of our platform, even if we have been advised of the possibility of such damages. In no event shall our total liability exceed the fees you paid to LapinoPay in the twelve (12) months preceding the claim. Some jurisdictions do not allow exclusion of implied warranties or limitation of liability; in such jurisdictions, our liability is limited to the maximum extent permitted by law.

13.4 Indemnification

You agree to indemnify, defend, and hold harmless LapinoPay, its affiliates, directors, officers, employees, agents, and service providers from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of our services; (b) your breach of these Terms; (c) your violation of any law or third-party rights; (d) any transaction, chargeback, or dispute involving your account or customers; or (e) any content or data you submit or transmit through our platform.

LapinoPay protects your personal and transactional information in accordance with our Privacy Policy and applicable data protection laws, including GDPR where applicable. By using our platform, you consent to the data practices outlined in our Privacy Policy. Where your account is banned or terminated under Section 2 (Zero Tolerance) or for violations of these Terms, you waive any claim to data erasure or portability for data we are required to retain for legal, regulatory, or law enforcement purposes.

All content, trademarks, logos, software, and technology on LapinoPay are the property of LapinoPay or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, reverse engineer, or create derivative works without our express written consent.

These Terms are governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or your use of LapinoPay shall be subject to the exclusive jurisdiction of the courts designated by LapinoPay, unless otherwise required by applicable law. You agree to submit to the personal jurisdiction of such courts. If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

LapinoPay may update these Terms at any time. Changes become effective upon posting. Continued use of the platform following changes indicates your acceptance. We encourage you to review these Terms regularly.
